1. Agreement to Terms

By accessing or using Nina Technologies (“the Service”), provided by Nina Technologies LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.

2. Description of Service

Nina Technologies is an automated Facebook advertising management platform that launches campaigns, performs daily optimization, and handles conversion tracking on behalf of its users. The Service connects to your Meta (Facebook) ad account via the Meta Marketing API and makes programmatic changes to your campaigns based on rule-based optimization logic.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Meta Ad Account Access

By connecting your Meta ad account to Nina Technologies, you authorize us to access, manage, and modify your advertising campaigns, ad sets, and ads through the Meta Marketing API. This includes creating campaigns, adjusting budgets, pausing or activating ads, and retrieving performance metrics. You represent that you have the authority to grant this access.

5. Advertising Spend

You are solely responsible for all advertising spend incurred through your Meta ad account. While Nina Technologies includes safety rails (budget caps, emergency pause, daily action limits), the Service does not guarantee any specific advertising results, return on ad spend, or cost per acquisition. You acknowledge that advertising involves inherent financial risk and agree to monitor your account activity.

6. Conversion Tracking

The Service provides a tracking script and conversion API for capturing and forwarding conversion data to Meta via the Conversions API (CAPI). You are responsible for ensuring that your use of conversion tracking complies with all applicable laws, including privacy regulations and Meta’s data use policies. You must provide appropriate notice and obtain necessary consents from your end users before collecting their data.

7. Acceptable Use

You agree not to:

• Use the Service in violation of Meta’s Advertising Policies or Terms of Service
• Provide false or misleading information during registration or account setup
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its infrastructure
• Use the Service for any unlawful purpose or to advertise prohibited products or services
• Reverse engineer, decompile, or attempt to extract the source code of the Service

8. Intellectual Property

The Service, including its design, code, algorithms, and documentation, is the property of Nina Technologies LLC and is protected by intellectual property laws. You retain all rights to your advertising creatives, landing pages, and conversion data. We claim no ownership over your content.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any specific advertising performance will be achieved.

10. Limitation of Liability

To the maximum extent permitted by law, Nina Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, advertising spend, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us. Termination does not affect any advertising spend already incurred through your Meta ad account.

12. Changes to Terms

We reserve the right to modify these Terms of Use at any time. We will notify you of material changes by updating the “Last updated” date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
